Terms of Service
Last updated: [Month 2026]. These terms govern use of our services and our website.
1. About these terms
These terms apply to every shipment, warehousing arrangement and procurement service provided by JM Logistics Co., Ltd. ("JM", "惠州市捷恩物流有限公司"), registered in China with Unified Social Credit Code 91441381MA56UMN1X7, of Unit 19F, Bldg 2, Zhengji Technology Park, 88 Tianyi Rd, Qiuchang Sub-district, Huiyang District, Huizhou, Guangdong, China ("we", "us"). They apply in addition to any signed service agreement or booking confirmation; where a signed agreement conflicts with these terms, the signed agreement prevails.
By requesting a quote, instructing us, or shipping goods through us, you accept these terms.
2. Definitions
- "Client" — you, the party instructing JM.
- "Goods" — the cargo, products and packaging handled by us.
- "Booking Confirmation" — our written acceptance of an order, stating scope, price and charges.
- "Carrier" — any airline, shipping line, courier, forwarder or other third-party transport provider we engage.
- "Prohibited Goods" — as defined in section 6.
- "Declared Value" — the value you or the supplier declares for customs and insurance purposes.
3. Our role
We act as freight forwarder, warehouse operator and logistics agent. Unless a Booking Confirmation expressly states that we act as carrier of record, we contract with Carriers as your agent. Our role is to arrange and manage transport and warehousing on your behalf.
We may subcontract any part of the service to Carriers, warehouse operators, customs brokers and other providers. We select them carefully and remain responsible for their performance in line with section 7.
4. Your obligations
You agree to:
- Give accurate information. Product description, quantity, value, weight, dimensions, destination, and — critically — the contents of any restricted goods. We rely on this information for routing, documentation and customs declarations.
- Declare value accurately. We will not under-declare to reduce duty or freight cost. If you ask us to, we will decline.
- Comply with destination-country law, including product safety, labelling, licensing and certification requirements. Shipping does not make a non-compliant product compliant.
- Provide documents we reasonably request, promptly.
- Inspect goods on arrival where a Booking Confirmation specifies a delivery window, and report shortages or damage within that window.
Consequence of inaccurate information: we may refuse the shipment, or cancel it in transit, and any resulting charges — storage, demurrage, return freight, penalties — are payable by you. We are not liable for consequences arising from information you provided.
5. Quotations and charges
- Quotations are estimates based on the information supplied. They are valid for the period stated on the quotation.
- Rates are re-confirmed in writing at the time of booking. Where a rate changes between quotation and written booking confirmation, we will notify you and either re-quote or absorb the difference at our election.
- We do not bill charges that were not on the written quote, except where a genuinely unforeseeable third-party cost arises after booking — in which case we will notify you before incurring it wherever possible.
- Fuel surcharges, security fees, congestion charges, peak-season adjustments and customs-related fees are passed through at cost and listed separately.
- Payment is due within [X] days of invoice unless agreed otherwise. Late payment may incur interest at [X]% per month.
- Currency: quotes and invoices are in [currency] unless stated otherwise. Bank charges on the payer side are for the payer's account.
6. Prohibited and restricted goods
We refuse without liability and without refund of any incurred costs to handle:
- Counterfeit, imitation or replica goods, and unauthorised branded products.
- Illicit goods, including narcotics, weapons or ammunition, and imitation firearms.
- Tobacco, nicotine products, alcohol and certain food items — unless a specific agreement is in place.
- Living animals, human remains, and biological materials without permits.
- Hazardous goods and dangerous goods — except where expressly agreed with full documentation and proper packing certified to the relevant standard.
- Any goods requiring a false declaration of value, contents, weight or origin.
- Any goods prohibited in the transit, transhipment or destination country.
Restricted goods — including batteries, magnets, liquids, powders and wooden products — are accepted only when lawfully shippable to the destination, correctly declared, and accompanied by the documentation required for that specific mode and route. Where we assess goods as unshippable before dispatch, we tell you and cancel at no charge.
7. Liability
Our standard of care
We exercise due care and skill in handling your goods, in line with the standards of the profession. Where we provide warehousing, we take reasonable steps to protect goods against loss or damage while in our custody.
Cap on liability
Unless a Booking Confirmation states a higher liability, our total aggregate liability for loss of or damage to goods is limited to:
- USD [X] per shipment; or
- [X] times the Declared Value of the affected goods; or
- the declared value of the lost or damaged goods, whichever is lowest.
We are not liable for: indirect or consequential loss; loss of profit, revenue, market share or opportunity; business interruption; or loss of data — in each case whether direct or indirect, and whether or not foreseeable.
Excluded causes
We are not liable for loss or damage caused by: acts of God and force majeure; warlike operations, riots and civil commotion; inherent vice or nature of the goods; faulty or inadequate packaging or marking provided by you or the supplier; insufficient or inaccurate information supplied by you; improper or unauthorised use of the service; or the acts or omissions of a third party we did not select.
Carrier liability
Where goods are transported by a Carrier, liability is subject to the Carriers' own terms and the international or domestic conventions they apply — which may be lower than our cap above. We will pass on any claim we recover. Our liability is limited to the amount we actually recover from the Carrier plus the amount of our own handling charge, unless the Booking Confirmation states otherwise.
Prohibited goods seizure
If goods are detained, seized or penalised because they are Prohibited Goods, or because of inaccurate information you provided, you bear all costs and consequences. We will cooperate with any lawful attempt to recover or release the goods.
No limitation on certain liability
Nothing in these terms excludes or limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot lawfully be excluded.
8. Insurance
Goods are shipped uninsured unless you request cover and we confirm it in writing. We recommend cover for goods of significant value.
Insurance premiums are additional. Cover is subject to the insurer's terms, which may impose requirements on packaging, documentation and timely notification. Claims are frequently declined where packing was inadequate, where damage was not reported within the required window, or where the goods were declared inaccurately.
Damage claims: notify us of visible damage or shortage within [7] days of delivery, with photographs of the outer packaging and the damaged goods before the goods are repacked or used. We then lodge the claim and pursue it on your behalf. Claims are limited to the amount recovered from the insurer or Carrier, minus our handling charge, unless a higher amount is agreed in the Booking Confirmation.
9. Storage
- Free storage applies for 180 days from the date of arrival at our warehouse, for goods we have accepted under a current booking.
- Before storage charges begin, we will contact you with the options and any applicable rates.
- Goods remaining unclaimed beyond [X] days after free storage expires may be moved to long-term storage, returned, or disposed of with notice, at your cost.
- You must instruct us in writing to ship, collect, return or dispose of goods. We do not ship on instruction received verbally where the value is significant.
10. Procurement support
Where we act as your purchasing agent:
- Our fee is agreed in writing before we start, and is separate from the supplier's price.
- We do not take commission or rebates from suppliers, and do not mark up supplier invoices. Our compensation is your fee, disclosed in advance.
- Any price saving we negotiate for you is passed to you.
- We verify suppliers on a reasonable-effort basis. Verification reduces risk; it does not eliminate it. We do not warrant a supplier's quality, performance, solvency or delivery.
- Payment settlement: funds are remitted to the supplier on your written instruction. Once remitted, funds are non-refundable except where the supplier fails to deliver as contracted.
11. Duration and termination
These terms apply from the date you first instruct us until all claims arising from that work are resolved. Either party may terminate future instructions on written notice, subject to settlement of outstanding charges. Termination does not affect liability for shipments already in progress.
12. Governing law and disputes
These terms are governed by the laws of the People's Republic of China. Where you are contracting as a consumer under a consumer-protection regime that cannot be waived, that regime prevails.
Before commencing proceedings, both parties agree to attempt resolution through [mediation, e.g. via the Shanghai International Arbitration Center or the China International Economic and Trade Promotion Commission]. Where the Booking Confirmation states a different forum or arbitration clause, that prevails.
13. Website terms
Content on this website is provided for general information. Freight rates, transit times and customs requirements change; the quotation and Booking Confirmation are the binding documents. Website content may not be reproduced without permission.
Use of our enquiry form does not create a contract. A contract arises only when we issue a written Booking Confirmation and you accept it.
14. General
- Entire agreement — these terms and any Booking Confirmation constitute the whole agreement.
- Severability — if a provision is unenforceable, the rest remains in effect.
- No waiver — failure to enforce a provision is not a waiver of it.
- Assignment — you may not assign these terms without our written consent.
- Notices — notices must be in writing and sent to the email address on your Booking Confirmation, or to our warehouse and office address stated on this website.
- Third parties — a person who is not a party has no right to enforce these terms.
